Welcome to The MedTech Collective LLC website (the "Site"). These Terms and Conditions govern your access to and use of the Site, including both publicly accessible areas and the members-only section (the “Members-Only Section”). By accessing or using any part of the Site, you agree to these Terms and Conditions. If you do not agree, please do not access the Site.
 

1. Eligibility
 

A. Public Sections

The public portions of the Site are available to all users for informational purposes.

B. Members-Only Section

Access to the Members-Only Section is restricted to approved members of The MedTech Collective ecosystem (“Members”). Membership is subject to approval, and we reserve the right to deny or revoke access at our sole discretion.

 

2. Account Registration and Security
 

A. Public Users

Public users are not required to register for an account to browse publicly accessible areas of the Site.

B. Members

Members must register for an account to access the Members-Only Section. Members agree to:

  1. Provide accurate, current, and complete information during registration.

  2. Keep login credentials confidential and secure.

  3. Notify us immediately of any unauthorized account access.

You are solely responsible for all activity conducted under your account.
 

3. Use of the Site

A. Public Sections

You may use the public portions of the Site solely for personal, informational, and non-commercial purposes.

Prohibited activities include:

  1. Using automated means (e.g., bots or crawlers) to access or scrape the Site’s content.

  2. Engaging in activities that disrupt or interfere with the operation of the Site.

  3. Uploading or transmitting harmful or malicious code.
     

B. Members-Only Section

Members may access and use the content, resources, and tools in the Members-Only Section for purposes aligned with The MedTech Collective ecosystem. Prohibited activities include:

  1. Sharing login credentials or granting unauthorized access.

  2. Copying, reproducing, or distributing content without written consent.

  3. Using resources for unlawful, fraudulent, or harmful activities.
     

4. Intellectual Property

(a) All content on the Site, including text, graphics, logos, images, and materials in the Members-Only Section, is the property of The MedTech Collective or its licensors.
(b) Members are granted a limited, non-exclusive, non-transferable license to use the Members-Only Section’s content for authorized purposes only.
(c) You may not modify, reverse-engineer, or create derivative works from any Site content.


5. Contributions to Collaborative Content (Members-Only Section)

(a) Members may contribute to Collaborative Content such as co-branded materials, webinars, or whitepapers.
(b) By contributing, you grant The MedTech Collective a perpetual, royalty-free, worldwide license to use, distribute, and modify your contributions.
(c) Members contributing to Collaborative Content may not use final materials independently without prior written consent.


6. Confidentiality (Members-Only Section)

Members acknowledge that the Members-Only Section may contain confidential or proprietary information, including business strategies, partner directories, and marketing materials. Members agree not to disclose such information without prior written consent.


7. Third-Party Links

The Site may include links to third-party websites for convenience. We are not responsible for the content, policies, or practices of external sites. You acknowledge that access to these sites is at your own risk.
 

8. Cookies and Tracking Technologies

We use cookies to improve user experience and analyze Site usage. For details on our cookie usage and how to manage preferences, please refer to our Privacy Policy.
 

9. Termination of Access

We reserve the right to suspend or terminate access to any portion of the Site at any time for:
(a) Violations of these Terms and Conditions.
(b) Unauthorized use of Site content.
(c) Breach of your membership agreement (if applicable).
 

10. Disclaimers and Limitation of Liability

(a) The Site is provided “as-is” and “as-available.” We make no warranties, express or implied, regarding its content or functionality.
(b) We shall not be liable for damages arising from:

  • Your use or inability to use the Site.

  • Errors, omissions, or inaccuracies in the content.

  • Unauthorized access to your account.
     

11. Governing Law and Dispute Resolution

These Terms and Conditions are governed by the laws of the State of Wyoming, without regard to its conflict of laws principles. Disputes arising under these Terms shall be resolved in accordance with the dispute resolution provisions in your Membership Agreement or, for public users, through binding arbitration in Wyoming.
 

12. Updates to These Terms

We may update these Terms periodically. Significant changes will be communicated to Members and posted on the Site. Continued use constitutes acceptance of updated Terms.
